Introduction
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”) and Blank Trade Inc. (“Company,” “we,” “us”), the operator of the interface located at blank.trade (the “Platform”). By connecting a wallet or using the Platform in any manner, you expressly acknowledge and agree to be bound by these Terms. Furthermore, by agreeing to these Terms, you certify that you are at least 18 years of age. If you do not agree, do not use the Platform.
1. Beta Testing Notice
The Platform and its automation services are currently undergoing beta testing. You recognize that the Platform, its capabilities, and data flow are part of a limited beta phase to evaluate early features and underlying architecture. The Platform is provided “as-is” and “as-available” for beta testing. During this period, the Company may roll out new or updated pre-release features. You acknowledge that using beta features may result in bugs, inaccuracies, failures, disruptions, or data loss. Your use of any beta features is entirely at your own risk.
2. Nature of Services
2.1. Software Interface Only
The Platform is a distinct software interface that acts solely as a technological gateway to decentralized blockchain protocols (e.g., Solana). You acknowledge and agree that the Company:
- Does not operate a digital asset exchange, brokerage, or order book;
- Does not act as a counterparty to any trade;
- Does not have custody of your assets (except as strictly defined in the Session Authorization clause below);
- Does not provide legal, financial, or professional advice, nor do we owe you any fiduciary duties;
- Does not have the ability to reverse, cancel, or modify on-chain transactions once broadcast.
2.2. Non-Custodial Design
All trading occurs directly between your wallet and decentralized smart contracts (e.g., Raydium, Jupiter, Pump.fun). The Platform merely visualizes on-chain data and automates the signing process based on your specific instructions.
3. Wallet Security & MPC Automation
3.1. MPC Architecture
The Platform utilizes Multi-Party Computation (“MPC”) and/or sharded key architecture to secure transaction signing. You acknowledge that this architecture is designed to eliminate single points of failure, but no software is entirely free of risk.
3.2. Session Authorization & Limited Agency
By enabling automation features (e.g., “Auto-Swap” or “Limit Orders”), you grant the Platform a limited, revocable, and non-custodial authority (a “Session Policy”) to cryptographically sign transactions on your behalf. This authority is technologically restricted to:
- Scope: Executing swaps between verified tokens on the Solana blockchain;
- Destination: Interacting with any smart contract or wallet address on the blockchain as designated by your transaction parameters;
- Duration: A maximum period defined by your session (e.g., 24 hours or 7 days) before requiring re-authorization.
3.3. No Withdrawal Capability
You explicitly acknowledge that the Session Authorization does not grant the Company the cryptographic power to transfer, withdraw, or send assets to any wallet address other than your own registered User Wallet (except with your explicit user permission). The Company operates under a security model designed to restrict access, ensuring it does not possess the complete cryptographic private keys necessary to seize your funds unilaterally.
4. Trading Risks & Execution
4.1. Execution Risks & MEV
You understand that transaction execution on the Solana blockchain is subject to network congestion, validator priority fees, and “Maximum Extractable Value” (MEV) attacks (e.g., sandwich attacks). The Company does not guarantee that your “Swap” or “Limit Order” will be executed at the exact price displayed on the Interface. You accept the risk of slippage, failed transactions, and front-running due to network conditions outside our control.
4.2. Smart Contract Vulnerabilities
Smart contracts execute automatically when conditions are met. Vulnerabilities in their programming, design, or security incidents can have adverse effects on digital assets, including significant risk of loss. The Company is not responsible for any losses due to errors, including incorrectly constructed transactions or exploited third-party protocols.
5. Fees & Payments
5.1. Software Utility Fees
The Company charges a transaction fee (typically 0.75% to 1.00%, as displayed on the Interface) on successful trades. You acknowledge that this fee is for the license and use of the software automation tools (e.g., speed acceleration, node access, and routing computation) and is not a brokerage commission.
5.2. Network Fees
You are responsible for all on-chain network fees (“Gas”) and Priority Fees.
5.3. No Refunds
Due to the irreversible nature of blockchain transactions, all fees are final and non-refundable. The Company will not issue refunds for failed swaps, slippage losses, or user errors.
6. Referrals and Trading Rewards
6.1. Program Participation
Blank Trade Inc. may offer affiliate, referral, and trading reward programs. By participating, you consent to the conditions of the applicable program. We reserve the right to determine eligibility and to modify, pause, or end any program at any time without advance notice.
6.2. On-Chain vs. Off-Chain Rewards
Certain rewards may be governed by smart contracts deployed on the blockchain, remaining claimable independent of the Platform's operational status. Off-chain rewards are not guaranteed and may be adjusted at the Company's discretion.
6.3. Prohibited Manipulation
Participants must refrain from spam, unsolicited promotional activities, or manipulating the reward systems. Activities deemed to artificially inflate trading volume or create fake referrals will result in immediate disqualification, account suspension, and forfeiture of rewards. You are solely responsible for determining and fulfilling any tax obligations arising from these rewards.
7. Prohibited Activities & Conduct
You commit to using the Platform only as explicitly allowed. You agree not to:
- Use any robot, spider, scraper, or other automated data gathering tools to access, monitor, or copy the Platform;
- Duplicate, decompile, reverse engineer, or disassemble the Services or underlying algorithms;
- Use automation software (bots) or unauthorized third-party software designed to modify the Services;
- Exploit the Services for any commercial purpose without explicit written approval;
- Introduce any viruses, trojan horses, worms, logic bombs, or other malicious materials into our systems;
- Conceal your location by IP proxying or Virtual Private Networks (VPNs) to bypass geographic restrictions.
8. Restricted Jurisdictions & KYC
8.1. Prohibited Persons
You represent and warrant that you are not located in, under the control of, or a national or resident of:
- The United States of America, Canada, or the People's Republic of China;
- Any country to which the United States has embargoed goods or services (including Cuba, Iran, North Korea, Syria, and the Crimea region of Ukraine);
- Any individual or entity identified as a “Specially Designated National” (SDN) by the US Office of Foreign Assets Control (OFAC).
8.2. Geoblocking
Accessing the Platform from a Restricted Jurisdiction is a material breach of these Terms. If you do so, you forfeit all protections under these Terms, and the Company reserves the right to terminate your access immediately.
8.3. KYC/AML Checks
At our sole discretion, or when required by applicable laws, we maintain the right to perform “Know Your Customer” (KYC) and “Anti-Money Laundering” (AML) verifications. We may deny Platform access until requested information is furnished or if available information suggests illegal activities.
9. Intellectual Property & Feedback
9.1. Ownership
All content, code, visual interfaces, and automation algorithms on the Platform are the proprietary property of Blank Trade Inc. and are protected by copyright, patent, and trademark laws.
9.2. Feedback
By providing feedback, comments, ideas, or suggestions (“Feedback”), you grant us a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free license to use, modify, and commercialize the Feedback in any way.
10. Third-Party Services & Data
10.1. Reliance on Infrastructure
The Platform functions by interacting with various third-party services, including blockchain RPC nodes, decentralized exchanges, and data APIs. The Company does not endorse any Third-Party Services and Materials and makes no guarantees regarding their uptime, security, or accuracy.
10.2. No Liability
You irrevocably waive any claim against the Company with respect to such Third-Party Services. Blank Trade Inc. is not responsible for any losses caused by the failure, latency, bad data, or hacking of any Third-Party Provider.
11. Indemnification
You agree to indemnify, defend, and hold harmless Blank Trade Inc., its affiliates, officers, directors, and employees from any claims, disputes, demands, liabilities, damages, losses, and legal fees arising out of: (a) your access to or use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any claim that your trading activity caused damage to a third party.
12. Limitation of Liability
12.1. Cap on Damages
To the maximum extent permitted by law, in no event shall Blank Trade Inc., its affiliates, or directors be liable for any lost profits or any special, incidental, indirect, or consequential damages arising from your use of the Platform.
12.2. Maximum Liability Amount
Notwithstanding anything to the contrary, the Company's total aggregate liability to you for any claim arising out of or relating to these Terms shall be limited to the greater of: (a) the total fees paid by you to the Company in the twelve (12) months preceding the event giving rise to the claim, or (b) $100.00 USD.
13. Dispute Resolution & Mandatory Arbitration
13.1. Binding Arbitration
Any controversy or claim arising out of or relating to these Terms, or the breach thereof, shall be settled by binding arbitration administered by the American Arbitration Association (AAA). The place of arbitration shall be Delaware. Time is of the essence, and arbitration hearings shall take place within 90 days of filing. You waive your right to a trial by jury.
13.2. 30-Day Opt-Out Right
You have the right to opt-out of the arbitration provisions by sending written notice to the Company at [email protected] within thirty (30) days of your first use of the Services. If you opt-out, the Company also will not be bound by them.
13.3. Class Action Waiver
You and the Company agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
13.4. Governing Law
These Terms shall be construed and enforced in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
14. Force Majeure
Neither Blank Trade Inc. nor you will be liable under this agreement due to any failure or delay in performing obligations caused by events beyond reasonable control, including natural disasters, internet outages, judicial action, significant blockchain network failures, chain halts, or smart contract exploits.
15. General Provisions & Modifications
15.1. Entire Agreement & Severability
These Terms constitute the entire agreement between you and the Company. If any provision is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions will remain in full force.
15.2. Modifications
We reserve the right to modify these Terms at any time by updating the “Last Updated” date at the top of these Terms. Your continued use of the Platform after any such change constitutes your acceptance of the new Terms.
